Terms & Conditions
Welcome to Whisl Telecom. These Terms and Conditions (“Terms”) govern your access to and use of Whisl Telecom’s services, including voice transit, VoIP services and related telecommunications offerings (collectively, the “Services”). By using our Services, you (“Customer,” “You”) agree to be bound by these Terms and all applicable Federal Communications Commission (FCC) regulations, as well as other relevant U.S. laws and international requirements.
1. Regulatory Compliance
1.1 FCC Regulations – Whisl Telecom operates as a U.S.-based Intermediate Provider and complies with all applicable FCC rules, including but not limited to:

47 CFR Part 64 (Intermediate Provider obligations, call completion, and rural call delivery)

STIR/SHAKEN Framework for call authentication

Robocall Mitigation Program filing requirements

499-A and 499-Q filing obligations with the Universal Service Administrative Company (USAC)

1.2 Customer Responsibility – You agree to use the Services in compliance with all applicable federal, state, and international laws, including FCC regulations, the Telephone Consumer Protection Act (TCPA), and the Truth in Caller ID Act.
1.3 Prohibited Use – You may not use the Services for:

Fraudulent or unlawful purposes

Unlawful robocalling or spoofing

Transmission of unlawful content

Any use that violates FCC regulations or compromises network security
2. Service Provisioning and Uptime
2.1 Availability – Whisl Telecom provides carrier-grade infrastructure with industry-standard service uptime. While we strive for 99.999% uptime, we do not guarantee uninterrupted service due to circumstances beyond our control (e.g., force majeure, third-party failures, government restrictions).
2.2 Quality of Service – Calls may be routed via multiple carriers and networks. Whisl Telecom makes commercially reasonable efforts to ensure call quality, but does not guarantee voice quality in all instances.
3. Customer Obligations
3.1 Registration and Information – Customers must provide accurate and up-to-date information for all FCC-required filings, including but not limited to Know Your Customer (KYC) verifications.
3.2 Compliance with Robocall Mitigation – Customers originating traffic through Whisl Telecom must maintain their own robocall mitigation practices and cooperate with Whisl in providing traffic data to regulators if required.
3.3 Payment Terms – All invoices are due as specified in the Service Agreement. Late payments may result in suspension of services.
4. Fraud Prevention and Monitoring
4.1 Traffic Monitoring – Whisl Telecom monitors traffic patterns to detect fraudulent activity, CLI manipulation, and IRSF (International Revenue Share Fraud).
4.2 Right to Suspend – Whisl reserves the right to suspend or block traffic deemed suspicious, unlawful, or non-compliant with FCC rules.
5. Limitation of Liability
5.1 Whisl Telecom shall not be liable for indirect, incidental, or consequential damages, including lost profits or loss of business, arising from use of the Services.
5.2 Whisl Telecom’s liability for direct damages shall not exceed the fees paid by the Customer for the Services in the 30 days preceding the claim.
6. Indemnification
Customer agrees to indemnify and hold harmless Whisl Telecom, its affiliates, and its parent company IQSTEL, Inc. (NASDAQ: IQST) against all claims, damages, fines, or penalties arising from the Customer’s non-compliance with these Terms or applicable FCC regulations.
7. Privacy and Data Protection
7.1 CPNI Compliance – Whisl Telecom complies with FCC rules regarding Customer Proprietary Network Information (CPNI). Customer data will not be disclosed except as permitted by law or required by regulators.
7.2 Data Security – Customer agrees to follow best practices in securing account credentials and traffic data.
8. Termination
8.1 Either Party may terminate Services with written notice in accordance with the Service Agreement.
8.2 Whisl may terminate immediately if the Customer engages in unlawful or non-compliant activity.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to conflict of law principles.
10. Amendments
Whisl Telecom may update these Terms to reflect changes in regulations, FCC requirements, or business practices. Updated Terms will be posted on our website with a revised effective date.
